Lit That." service ("Service"). However, before you use Lowel's Been There. Lit That. service and submit content, you must carefully review the terms and conditions set out below (the "Terms"). Lowel reserves the right, at its sole discretion, to change, modify or otherwise alter these Terms at any time. Such changes and/or modifications shall become effective immediately upon the posting thereof. Please review the Terms periodically. Your continued use of the Service and submissions following the posting of changes and/or modifications will constitute your acceptance of the revised terms and conditions. Submissions You may submit Content to Lowel including, without limitation, photographic images and descriptions, as part of your use of the Service ("Submissions"). Under these Terms, you agree that you will not post, place or transmit: a. Any threatening, abusive, deceptive, pornographic, obscene, defamatory, sexually explicit, slanderous, offensive, or otherwise inappropriate materials; b. Any material that promotes bigotry, racism, hatred or harm against any person or group; c. Copyrighted material without the express permission of the owner; d. Any material that could infringe rights of privacy, publicity, copyrights or other intellectual property rights; e. Viruses, worms, corrupt files, Trojan horses or other forms of corruptive code, or any other content which may compromise the Service (collectively "Corruptive Code"); f. Materials that advocates illegal activity; g. Materials that harm anyone; h. Any material sent from an anonymous or false address or which impersonates any person or entity, or otherwise misrepresents your affiliation with a person or entity; or, I. Links to any of the above. While Lowel is not responsible for the Content of Submissions provided by contributors, Lowel reserves the right in its sole discretion to (I) delete, move, or edit submissions for any reason, at any time, without notice, or (ii) take any other action that Lowel deems necessary relating to use or misuse of the Service. Lowel may request confirmation of the copyright or trademark ownership from the contributor. You should always preserve your original Content, or make back-up copies of such Content, on your personal system. You should not use the Service as the only repository or other source for your Content. Copyright In order for Lowel to make use of the Submissions, Lowel needs the rights to make use of all Content on the Service and otherwise, in accordance with and subject to these Terms. Accordingly, as a condition to your acceptance of these Terms, you hereby grant Lowel a perpetual, non-exclusive, royalty-free, fullypaid up worldwide license to (1) display, modify, transmit, and distribute your Content, including photos and biographical information about you; (2) to make derivative works and reproduce, distribute, publish and transmit the Content (and "Content" includes any derivative work), through whatever medium Lowel determines is best to accomplish Lowel's purposes, whether the medium is now known or later developed; (3) to incorporate the Content into a compilation or into a multimedia, hypertext environment, including appropriate hyperlinks; and (4) to use the Content for Lowel's promotional purposes. You represent and warrant to Lowel that you either own your Content or have written permission from the copyright owner to make such Content available to the Service. You may not reproduce any Content owned by someone else without the written consent of the owner of such Content. You are solely responsible for any copyright violations that you may incur as a result of your activities. If you believe that your work or the work of another has been copied in a way that constitutes copyright infringement, Lowel has a process in place to respond to your concerns. Limited Warranty (A) No Liability for Content. IN NO EVENT WILL LOWEL OR LOWEL AFFILIATES BE LIABLE FOR ANY CLAIM OF ANY NATURE, WHETHER DIRECT OR INDIRECT, ARISING FROM OR RELATED TO (I) CONTENT MADE AVAILABLE ON OR THROUGH THE SERVICE, INCLUDING ERRORS OR OMISSIONS IN SUCH CONTENT, OR (II) LOSS OR DAMAGE INCURRED AS A RESULT OF CONTENT. (B) Exclusive Remedy. ANY PRODUCT OR SERVICE MADE AVAILABLE THROUGH THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Lowel MAKES NO WARRANTIES OF ANY KIND WITH RESPECT TO SOFTWARE, GOODS, OR SERVICES THAT ARE PURCHASED, ACCESSED, OR OBTAINED THROUGH THE SERVICE OR THAT ARE ADVERTISED ON THE SITE, INCLUDING THAT SOFTWARE WILL BE FREE OF CORRUPTIVE CODE. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS AT YOUR OWN DISCRETION AND RISK. Reporting Violations of Your Copyrights If you believe the copyright in your work has been violated through this Service, please contact Lowel for notice of claims of copyright infringement, who can be reached at abuse@lowel.com, or at Lowel-Light Manufacturing, Inc., 140 58th Street, Brooklyn, New York 11220-2516. You must provide us with the following information, which Lowel may then forward to the allege infringer: a. identify the material on the Service that you believe infringes your work, with enough detail so that we may locate it on the Service; b. provide your name, address, telephone number and email address; c. provide a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; d. provide a statement that (I) that the information you have provided us is accurate, and (ii) you are the owner of the copyright interest involved or you are authorized to act on behalf of that owner; and e. provide your physical or electronic signature. Upon receiving your complaint, Lowel may remove materials that you believe infringes your copyright. Privacy Policy Lowel is committed to providing you the opportunity for a positive experience during your visit to our website and in using our Service, while respecting and striving to protect your online privacy. We have adopted this policy to safeguard your personal information and protect its confidentiality. We seek to limit the collection and use of personal information to what is necessary to administer our business, provide you with the highest quality visit and offer you information we think will be of interest. Choice of Law The state and federal courts of New York are the exclusive forum and venue to resolve any and all disputes arising out of or otherwise relating to these Terms which shall be governed by New York law. You consent to personal jurisdiction and venue by the state and federal courts of the State of New York. Modification of Terms Lowel may amend these Terms at any time, for any reason, and without notice, including the right to terminate the Service or any part of the Service. Any amendments or modifications made by Lowel will be prospective only. Entire Agreement These Terms constitute the entire agreement between you and Lowel governing your use of the Content and Service. In the case of inconsistencies between these Terms and any information included in off-line materials (for example, promotional materials and mailers), these Terms will always control. You may also be subject to additional terms and conditions that may apply when you use Lowel products or services, third-party Content, or third-party software. The failure of Lowel to exercise or enforce any Term will not constitute a waiver of such Term. If any Term is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Service or these Terms will be filed within one year after such claim or cause of action arose, or be forever barred.
